1. Acceptance of Terms
By accessing or using InvoiceOS ("Service", "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you may not use the Service. These Terms apply to all users, including freelancers, consultants, and small business owners using the platform to generate GST invoices.
2. Description of Service
InvoiceOS is a cloud-based invoicing platform designed for Indian freelancers and independent contractors. The Service allows you to:
- Create GST-compliant invoices with automatic tax calculation
- Manage client information and invoice history
- Generate and share PDF invoices via secure links
- Collect payments via Razorpay payment links
- Track invoice status (draft, pending, paid, overdue)
3. Account Registration
You must create an account to use InvoiceOS. You agree to provide accurate and complete information when registering and to keep your account credentials secure. You are responsible for all activity that occurs under your account.
You must be at least 18 years of age to use this Service. By registering, you represent that you have the legal capacity to enter into a binding agreement.
4. GST Compliance & Tax Accuracy
InvoiceOS provides tools to help you create GST-compliant invoices, including automatic calculation of CGST, SGST, and IGST based on the rates you configure. However:
- InvoiceOS is a tool to assist you — it is not a tax advisor or chartered accountant.
- You are solely responsible for the accuracy of the tax rates, GSTIN details, and invoice information you enter.
- You are responsible for filing your GST returns and complying with all applicable tax laws in India.
- We recommend consulting a qualified tax professional for complex GST matters.
5. Payments & Razorpay Integration
InvoiceOS integrates with Razorpay to enable payment collection. When you create a Razorpay payment link through InvoiceOS:
- The payment is processed by Razorpay, subject to Razorpay's own Terms of Service and applicable transaction fees.
- InvoiceOS does not hold, process, or store payment card data.
- You are responsible for maintaining your Razorpay account and complying with their terms.
- InvoiceOS is not responsible for payment failures, refunds, or disputes handled by Razorpay.
InvoiceOS currently offers a free tier. We reserve the right to introduce paid plans with advance notice to users.
6. Acceptable Use
You agree not to use InvoiceOS to:
- Create fraudulent or fictitious invoices
- Misrepresent your identity, business, or GSTIN
- Engage in tax evasion or any illegal financial activity
- Scrape, reverse-engineer, or attack the platform
- Upload or transmit malicious code, spam, or harmful content
- Violate any applicable Indian law, including the Income Tax Act, GST Act, or Information Technology Act
7. Intellectual Property
The InvoiceOS platform, including its code, design, logos, and features, is owned by InvoiceOS and protected by intellectual property laws. You retain full ownership of the invoice data, client data, and content you create using the Service.
By using the Service, you grant InvoiceOS a limited, non-exclusive licence to store and process your data solely for the purpose of providing the Service to you.
8. Data & Privacy
Your use of InvoiceOS is also governed by our Privacy Policy, which is incorporated into these Terms. Please review it to understand how we collect, use, and protect your data.
9. Disclaimers & Limitation of Liability
The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be error-free, uninterrupted, or meet your specific requirements.
To the maximum extent permitted by law, InvoiceOS and its owners shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of revenue, tax penalties, or data loss.
10. Termination
You may delete your account at any time. We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or abuse the Service. Upon termination, your right to use the Service ceases immediately.
11. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will notify you via email or in-app notice. Continued use of the Service after changes constitutes your acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of InvoiceOS shall be subject to the exclusive jurisdiction of courts in India.
